A UG (Unternehmergesellschaft) can be established by one or more persons or legal entities. Shareholders can be of any nationality and do not have to reside in Germany.
The management board must consist of at least one person, who can be of any nationality. They are responsible for managing the company's day-to-day operations.
The law in Germany requires a UG to hold an annual general meeting. During this meeting, the management board presents the annual accounts and shareholders vote on important matters.
The liability of a UG is limited to its business assets. The personal assets of the shareholders are not at risk. However, the management board can be held liable for damages if they breach their duties.
